Welcome to VG Unified owned by Vitus Gogo Limited. These Terms of Service (“Terms”) govern your access to and use of our suite of services, including but not limited to VG PAY, VG MARKET, VG SKILLS HUB, VG TALENT HUNT, VG WELFARE, VG COMMUNITY, VG BROWSER, VG QUIZ, VG TICKET SALES, VG SPONSORSHIP, VG Ride: Rider, and VG Ride: Driver (“Services”). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By registering for, accessing, or using any of VG Unified’s Services, you confirm that:

  • You are at least 18 years old or have the legal capacity to enter into a binding agreement.
  • You agree to abide by these Terms and all applicable laws and regulations.

2. User Accounts

2.1 Account Registration

To access certain features, you must create an account by providing accurate and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials.

2.2 Account Responsibility

You are solely responsible for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

2.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in unlawful activities.

3. Services Overview

3.1 VG PAY

VG PAY allows you to manage virtual bank accounts, transfer funds, purchase airtime, subscribe to services, and pay bills. Fees may apply to certain transactions, as disclosed in the app.

3.2 VG MARKET

VG MARKET facilitates buying and selling of products. Vendors must comply with our marketplace policies, and buyers must use the platform responsibly.

3.3 VG SKILLS HUB

Users can showcase skills and earn through services. VG Unified does not guarantee any specific earnings or outcomes.

3.4 VG TALENT HUNT

Users can create and manage contests. Contest rules must comply with our guidelines and local laws.

3.5 VG WELFARE

VG WELFARE allows crowdfunding for projects. Users must ensure transparency and legitimacy of their campaigns.

3.6 VG COMMUNITY

VG COMMUNITY enables social interactions. Users must not post harmful, illegal, misleading, or offensive content.

3.7 Other Services

Other services, including VG BROWSER, VG QUIZ, VG TICKET SALES, and VG SPONSORSHIP, are subject to specific terms outlined within each feature.

3.8 VG Ride: Rider

VG Ride: Rider is a ride-hailing platform that enables users to request transportation services from independent drivers.

Riders may:

  • Request on-demand rides.
  • Schedule rides where available.
  • View estimated fares before booking.
  • Track drivers and trips in real time.
  • Pay using supported payment methods.
  • Rate and review drivers after completed trips.

Riders agree to:

  • Provide accurate pickup and destination information.
  • Behave respectfully toward drivers.
  • Comply with applicable laws and regulations.
  • Pay all applicable fares and fees associated with trips.

Fare estimates are provided for convenience and may vary due to route changes, waiting time, tolls, traffic conditions, surge pricing, taxes, or other applicable charges.

3.9 VG Ride: Driver

VG Ride: Driver enables independent drivers to provide transportation services through the platform.

Drivers may:

  • Receive ride requests from riders.
  • Accept or decline ride requests.
  • Manage availability.
  • Access earnings information and trip history.

Drivers acknowledge and agree that:

  • They operate as independent contractors.
  • They are not employees, agents, or representatives of VG Unified or Vitus Gogo Limited.
  • They are solely responsible for compliance with transportation laws and regulations.

Drivers are responsible for:

  • Maintaining valid driver’s licenses.
  • Maintaining valid vehicle registration and permits.
  • Ensuring vehicle roadworthiness and safety.
  • Maintaining any legally required insurance coverage.
  • Complying with local transportation regulations.

VG Unified reserves the right to suspend or terminate driver accounts for safety concerns, fraudulent conduct, repeated violations, excessive cancellations, poor service quality, or breaches of these Terms.

3.10 Ride Safety and Conduct

All users of VG Ride services must:

  • Treat others with respect and professionalism.
  • Avoid harassment, discrimination, threats, violence, or abusive conduct.
  • Refrain from transporting prohibited, dangerous, or illegal items.
  • Follow all applicable transportation and safety regulations.

VG Unified may investigate complaints and take appropriate action, including warnings, account restrictions, suspensions, permanent termination, or referral to law enforcement authorities where necessary.

3.11 Ride Fares and Payments

Ride fares may be calculated using factors including:

  • Distance traveled.
  • Time spent during the trip.
  • Traffic conditions.
  • Demand-based pricing.
  • Tolls and additional charges.

By completing a trip, riders authorize payment of applicable fares and fees.

Drivers acknowledge that commissions, service fees, taxes, and other deductions may be applied before payouts are processed.

3.12 Transportation Disclaimer

VG Unified provides a technology platform that connects riders and independent drivers.

VG Unified does not directly provide transportation services and is not a transportation carrier.

To the maximum extent permitted by law, VG Unified shall not be liable for the conduct, actions, omissions, vehicle condition, safety practices, regulatory compliance, or service quality of drivers or riders using the platform.

Users assume all risks associated with transportation services arranged through VG Ride.

4. Prohibited Activities

By using VG Unified, you agree not to:

  • Engage in fraudulent, deceptive, or unlawful activities.
  • Use the platform to transmit harmful content, including viruses or malware.
  • Violate the intellectual property rights of VG Unified or third parties.
  • Interfere with the functionality of our Services.
  • Disrupt the experience of other users.
  • Impersonate another person or entity.
  • Use the platform for illegal transportation, financial, or commercial activities.

5. Fees and Payments

Certain Services may require payment of fees, which will be disclosed at the time of transaction.

You agree to pay all applicable fees, charges, commissions, and taxes.

Non-payment may result in suspension or termination of access to the Services.

6. Intellectual Property

VG Unified retains all rights, title, and interest in and to the Services, including trademarks, logos, software, content, and proprietary technology.

You may not reproduce, modify, distribute, sell, license, or create derivative works without prior written consent.

7. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.

VG Unified makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, availability, reliability, or non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, VG Unified, Vitus Gogo Limited, its directors, employees, affiliates, partners, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from:

  • Use of the Services.
  • Inability to access the Services.
  • Transactions conducted through the platform.
  • Transportation services arranged through VG Ride.
  • User-generated content.
  • Unauthorized access to accounts or data.

Our total liability shall not exceed the amount paid by you to VG Unified during the six (6) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless VG Unified, Vitus Gogo Limited, its affiliates, officers, employees, partners, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any law or regulation.
  • Your infringement of any third-party rights.

10. Modifications to the Terms

We reserve the right to modify these Terms at any time.

Changes become effective immediately upon publication within the platform or on our website.

Continued use of the Services constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

12. Dispute Resolution

12.1 Informal Resolution

Before commencing legal action, users agree to contact VG Unified to attempt an amicable resolution.

12.2 Arbitration

Where disputes cannot be resolved amicably, such disputes shall be submitted to binding arbitration in Nigeria in accordance with applicable Nigerian laws and arbitration procedures.

13. Termination

VG Unified may suspend, restrict, or terminate your access to any Service at any time, with or without notice, where:

  • You violate these Terms.
  • Your activities present risk to users or the platform.
  • We are required by law or regulation.

Termination does not affect obligations accrued before termination.

You agree to indemnify and hold harmless VG Unified, its affiliates, and partners from and against any claims, liabilities, damages, or expenses arising out of your use of the Services or breach of these Terms.

10. Modifications to the Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the Services constitutes acceptance of the modified Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

12. Dispute Resolution

12.1 Informal Resolution

In case of a dispute, contact us first to resolve the matter amicably.

12.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of a Nigerian court.

13. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and without prior notice.
